Provider Agreement

This Provider Agreement ("Agreement") supplements the AVident Terms of Service and applies to you whenever you list an aircraft, offer flight instruction, practical tests, maintenance, ferry, or contract-pilot services, or create or administer a flight school on the Platform (in that capacity, a "Provider"). Capitalized terms have the meaning given in the Terms. If this Agreement and the Terms conflict, this Agreement governs your activity as a Provider. You accept it when you create your first listing, profile, offering, or school, and again whenever it changes.
1. Your status
You are an independent business or individual. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship with AVident. You set your own rates, availability, cancellation tier, and conditions of service. AVident does not supervise, direct, or control your work, and does not decide whether any flight, lesson, test, or job goes ahead.
2. Listings and credentials
2.1 Accuracy. Every fact in your listing, profile, rate card, availability, and credentials must be accurate and kept current, including certificate numbers, ratings, aircraft registration, equipment, billing meter type, cancellation tier, minimum billing, and any restriction on use. You will update or remove a listing promptly when it stops being accurate.
2.2 Authority. You will list only aircraft you own or have written authority to offer, and only services you are certificated and legally permitted to perform. You will remove an aircraft from the Platform when it is sold, deregistered, or grounded. AVident re-checks listed registrations against the FAA registry and may pause a listing that no longer matches.
2.3 Who you serve. You are responsible for deciding which Renters may operate your aircraft or receive your services, and for any checkout, briefing, approval, or eligibility check the law or your insurer requires, including confirming a non-citizen student's TSA Flight Training Security Program eligibility before instruction begins. AVident records what a student reports about that eligibility; it does not verify or adjudicate it.
2.4 Rental instructions. Private rental instructions you attach to an aircraft are delivered to the Renter when a booking is confirmed. They form part of your contract with the Renter and must not conflict with the Terms or the law.
2.5 Experimental and restricted aircraft. You will not list for rental any aircraft whose operating limitations or airworthiness certificate prohibit it, and you will disclose any limitation that affects a Renter's use.
3. Insurance
3.1 You will maintain insurance appropriate to the aircraft and services you offer: hull and liability coverage on any listed aircraft that permits operation by the Renters you approve, and professional liability coverage where customary for instruction, examination, or maintenance. You will not offer an aircraft or service your insurer has excluded.
3.2 A Renter's non-owned aircraft policy, which the Platform asks Renters to carry, is the Renter's coverage, not yours. You will not rely on it as your only protection. AVident does not verify the adequacy of any policy, yours or theirs.
3.3 On request you will provide AVident a certificate of insurance for a listed aircraft.
4. Fees, payouts, and recovery
4.1 Payouts. You will onboard with Stripe to receive payouts and agree to the Stripe Connected Account Agreement. Payouts are released 48 hours after a completed, undisputed transaction, less AVident's commission (currently 8% of the Provider total, or the School Pro terms where a school has subscribed), to the account you registered with Stripe. Current fees are published on flyavident.com.
4.2 Recovery. If a payment to you is refunded, waived, reversed, or charged back, you authorize AVident to recover the amount and any dispute fee by reversing the payout, offsetting future payouts, debiting your connected account where Stripe permits, or invoicing you. You will keep your connected account open for 60 days after your last payout so such recoveries can be made.
4.3 Holds on payout. AVident may delay any payout while a refund request, meter dispute, chargeback, safety report, or suspected fraud on the related booking is under review.
4.4 No circumvention. You will not request or accept payment outside the Platform for a Transaction arranged on it, post rates that apply only off-platform, or steer a Member you met on the Platform to book elsewhere to avoid fees. If you do, AVident may charge its standard commission on that Transaction, remove your listings, and suspend or terminate your account.
4.5 Cancellations and minimum billing. The cancellation tier, no-show fee, and minimum billing you select apply to every booking of that listing and are shown to the Renter at checkout. You will honor them, including the waivers the Platform applies automatically (for example a maintenance abort before takeoff).
5. Taxes and records
5.1 Taxes. You are responsible for all taxes on amounts you earn through the Platform, for any sales or excise tax that applies to aircraft rental or services in your state, and for providing accurate taxpayer information to Stripe. Stripe, not AVident, issues any Form 1099-K that applies to your payouts.
5.2 Records. You will keep the records the law requires of you: aircraft maintenance records, instructor endorsement records under 14 CFR § 61.189, and flight-training security records under 49 CFR Part 1552. Endorsement records you sign on the Platform, and documents attached to them, are retained through those periods even if you or the student later delete an account, and are purged afterwards; other copies stored on the Platform are for convenience, and you remain responsible for producing your records to the FAA or TSA.
6. Delegates, staff, and schools
6.1 If you designate delegates or approvers for an aircraft, or add staff or co-administrators to a school, you are responsible for their acts on the Platform as if they were your own, and you will remove them promptly when they leave.
6.2 Splits. A revenue split between a school and an instructor takes effect only when the instructor accepts it in the app. AVident pays each party according to the split recorded when the booking was made and is not a party to any dispute about it.
6.3 Internal scheduling. Bookings a school records as internal are the school's own scheduling, not marketplace Transactions. AVident's role in them is limited to the calendar, and no fee, card hold, or payout runs through the Platform for them.
7. Allocation of risk between Members
7.1 Each Transaction is between you and the Renter. You and the Renter each assume the risks of the flight, instruction, test, or service as between yourselves, and each look to the other and to your own insurance for any loss. AVident is released as provided in Section 7 of the Terms.
7.2 You will handle any claim by a Renter, passenger, or third party arising from your aircraft or services directly and at your own cost, and will indemnify AVident as provided in Section 10 of the Terms.
7.3 Incident reports. You will tell AVident at support@flyavident.com within 72 hours of any accident, incident, or FAA enforcement action involving a listed aircraft or a Platform Transaction, in addition to any report 49 CFR Part 830 requires you to make to the NTSB.
8. Term
This Agreement applies from your first listing, profile, offering, or school until you remove every one of them and AVident has released or recovered all amounts under Section 4. Sections 4, 5, and 7 survive. AVident may update this Agreement; you will be asked to accept the new version before your next listing change, and continuing to list after the effective date is acceptance.
